1. Acceptance of Terms
By accessing or using the TrueCodex website (truecodex.com) or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please refrain from using our website or services. These terms apply to all visitors, clients, and users of our platform.
2. Services
TrueCodex provides full-stack software development services including, but not limited to, eCommerce development, web and mobile application development, SaaS platform engineering, AI & intelligent systems, ERP/CRM integrations, and DevOps solutions. The scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed between TrueCodex and the client.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in deliverables created by TrueCodex under a client engagement are assigned to the client upon receipt of full payment. TrueCodex retains the right to use general knowledge, methodologies, frameworks, and pre-existing tools developed independently of any specific client project. All content on this website — including text, graphics, logos, and code — is the property of TrueCodex and is protected by applicable intellectual property laws.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. TrueCodex will not disclose client data, business logic, or technical specifications to third parties without prior written consent, except where required by law. Clients are equally expected to keep confidential any internal processes, pricing, or proprietary methodologies shared by TrueCodex.
5. Payment Terms
Payment terms are specified in the individual project agreement. Unless otherwise stated, invoices are due within 14 days of issuance. TrueCodex reserves the right to pause or suspend ongoing work in the event of overdue payments. Late payments may attract a penalty as specified in the project agreement. All fees are exclusive of applicable taxes unless otherwise stated.
6. Warranties & Disclaimers
TrueCodex warrants that services will be performed with reasonable skill and care in accordance with the agreed specifications. However, we do not warrant that software will be entirely free of defects or that it will operate without interruption. The website and its content are provided "as is" without warranty of any kind. TrueCodex disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, TrueCodex shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including loss of profits, data, or business opportunities. Our total aggregate liability for any claims arising under a project engagement shall not exceed the total fees paid by the client for that specific engagement in the three months preceding the claim.
8. Third-Party Services
Our services may integrate with or recommend third-party tools, platforms, or APIs (e.g., payment gateways, cloud providers, CMS platforms). TrueCodex is not responsible for the performance, availability, or terms of any third-party service. Clients are responsible for reviewing and complying with third-party terms of service applicable to tools used in their projects.
9. Termination
Either party may terminate a project engagement by providing written notice as specified in the relevant Service Agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. TrueCodex reserves the right to terminate services immediately in cases of non-payment, breach of these terms, or conduct that is unlawful or harmful.
10. Privacy
Your use of this website and our services is also governed by our Privacy Policy, which is incorporated into these Terms & Conditions by reference. We handle personal data in accordance with applicable data protection laws. By using our services, you consent to the collection and use of information as described in our Privacy Policy.
11. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India. If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
12. Changes to These Terms
TrueCodex reserves the right to update or modify these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting to this page. We encourage you to review this page periodically. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
